Terms of Service
Please read these Terms of Service ("Terms") carefully before using the RingDesk platform, hardware device, or any related services (collectively, the "Service"). By signing up for early access, accepting a device installation, or using any part of the Service, you agree to be bound by these Terms.
Key points: RingDesk provides an AI receptionist service — it handles scheduling, general queries, and reminders only. It does not provide medical or legal advice. You are responsible for reviewing and correcting any errors in AI-handled conversations. Full refunds are available within 30 days of hardware delivery if you are not satisfied.
1. Definitions
"RingDesk", "we", "us", or "our" refers to the company operating the Service.
"Customer" or "you" refers to the professional or business that has subscribed to the Service.
"End-user" refers to callers, patients, or clients who interact with the AI on your behalf.
"RingDesk Box" refers to the hardware device we supply and install at your premises.
"Platform" refers to the software, AI models, dashboards, and infrastructure that power the Service.
2. The Service
RingDesk provides an AI-powered virtual receptionist that:
- Intercepts calls forwarded from your phone number and engages callers via WhatsApp
- Books, reschedules, and cancels appointments based on your configured availability
- Answers queries using a knowledge base you configure
- Sends automated appointment reminders and follow-ups
- Escalates urgent matters to you immediately via WhatsApp
The Service is a communication and scheduling tool. It is not a medical device, clinical decision support system, or provider of professional advice of any kind. The AI does not diagnose, treat, or advise on medical, legal, or financial matters.
3. Eligibility and Registration
The Service is intended for registered businesses and licensed professionals operating in India. By registering, you represent that:
- You are 18 years of age or older
- You have the legal authority to enter into a binding contract on behalf of your practice or business
- All information you provide during registration is accurate and complete
- You will keep your account credentials confidential and notify us immediately of any unauthorised access
4. Hardware (RingDesk Box)
4.1 Delivery and installation
The RingDesk Box is delivered and installed by our team at your registered business address. Installation is included in the hardware price. You agree to provide reasonable access to your premises for installation and any subsequent maintenance visits.
4.2 Ownership and risk
The RingDesk Box remains your property after purchase. Risk of loss or damage passes to you upon delivery. We provide a 1-year hardware warranty covering manufacturing defects. Damage caused by misuse, power surges, or third-party interference is not covered by warranty.
4.3 Returns
If you are not satisfied with the Service, you may return the RingDesk Box within 30 days of delivery for a full hardware refund, provided the device is undamaged and in original working condition. You will need to arrange collection or return shipping.
5. Subscription Plans and Billing
After hardware installation, you choose a monthly or annual service plan. Subscription fees are charged in Indian Rupees (₹).
- Monthly plan: Billed every 30 days. Cancel at any time with effect from the next billing cycle.
- Annual plan: Billed once per year. No refunds for unused months after the 30-day satisfaction window has passed.
- Multi-seat / custom plan: Governed by a separate order form agreed between you and RingDesk.
Prices shown on the website are indicative. Exact pricing is confirmed during your free demo and before any payment is taken. We will give you at least 30 days' notice of any price changes.
If a payment fails, we will retry up to 3 times over 7 days and notify you by email. Continued non-payment may result in suspension of the Service.
6. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:
- Use the Service to collect or process data in violation of any applicable law, including the DPDP Act 2023
- Configure the AI to make representations that are false, misleading, or harmful to end-users
- Attempt to reverse-engineer, copy, or resell any part of the Platform
- Use the Service in any jurisdiction where its operation would be unlawful
- Provide the Service to end-users as your own product without written permission from RingDesk
You are responsible for the accuracy and legality of all content you add to your knowledge base, including fee schedules, service descriptions, and FAQ responses.
7. Your Responsibilities as the Data Controller
When end-users interact with the AI, you (the customer) act as the Data Fiduciary under the DPDP Act in relation to your callers' personal data. You must:
- Ensure you have an appropriate legal basis to collect and process your callers' data via the Service
- Display an appropriate privacy notice to callers informing them that their calls may be handled by an AI system
- Respond to any data rights requests from your callers, with our assistance where required
- Not instruct RingDesk to process personal data in a manner that violates applicable law
RingDesk acts as a Data Processor on your behalf for end-user data, governed by the data processing terms in our Privacy Policy.
8. Intellectual Property
All software, AI models, platform infrastructure, designs, and documentation comprising the RingDesk Service are owned by or licensed to RingDesk. These Terms do not grant you any rights to our intellectual property beyond a limited, non-exclusive, non-transferable licence to use the Service during your active subscription.
You retain ownership of all content you upload to your knowledge base. By uploading content, you grant RingDesk a limited licence to use that content solely to operate and improve the Service for your account.
9. Service Availability and Limitations
We aim for high availability but do not guarantee uninterrupted service. Planned maintenance will be communicated in advance where possible. We are not liable for service interruptions caused by WhatsApp platform outages, internet service provider issues, or events outside our reasonable control.
The AI may occasionally make errors in understanding caller intent, scheduling, or responding to queries. You are responsible for periodically reviewing conversation logs and correcting any errors. RingDesk is not liable for losses arising from AI errors that you could have identified and corrected through reasonable review.
10. Limitation of Liability
To the maximum extent permitted by law:
- RingDesk's total liability to you under these Terms is limited to the fees you paid in the 3 months immediately preceding the claim
- We are not liable for indirect, incidental, special, or consequential damages, including lost profits, lost revenue, or loss of data
- We are not liable for clinical, medical, legal, or financial outcomes arising from the use or non-use of the Service
Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under Indian law.
11. Indemnification
You agree to indemnify and hold RingDesk harmless from any claims, damages, or expenses (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) your violation of any law or third-party right; or (c) the content you upload to your knowledge base.
12. Term and Termination
These Terms begin on the date you activate the Service and continue until terminated.
Either party may terminate at any time. You may cancel your subscription at any time through your account or by writing to us — cancellation takes effect at the end of your current billing period. We may suspend or terminate your account immediately if you breach these Terms, fail to pay subscription fees, or use the Service unlawfully.
On termination, your access to the Platform will be disabled. Your data will be retained for the periods described in our Privacy Policy, after which it will be permanently deleted.
13. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of India. Any dispute arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Delhi, India.
Before initiating any legal proceedings, both parties agree to attempt to resolve the dispute in good faith through direct negotiation for at least 30 days.
14. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you disagree with a change, you may terminate your subscription before the new Terms take effect.
